• • Provide strategic counsel on corporate matters, including complex company incorporations, capital restructuring, and governance agreements.

• • Draft, review, and negotiate a diverse portfolio of commercial agreements.

Assistance in all matters relating to the incorporation of new companies and the drafting of their by-laws and shareholders' agreements. Assistance from beginning to end of the capital increases process, assisting in the preparation of all the necessary documents, e.g. term sheets, minutes of the capital increase, adherence to the shareholders' agreement, etc. Drafting of a wide range of corporate documentation, such as Non-Disclosure agreements, phantom share plans, convertible notes, loan agreements, etc.
